NZDH Limited Terms of Trade

DEFINITIONS

"Client means the person, authorised agent or legal entity described in the application, or stated on the invoice or quote, buying services from NZDH Limited hereinafter referred to as NZDH. "Services shall mean all services supplied by NZDH to the client and includes any recommendations & advice.
 

PAYMENT TERMS

Terms of payment are within 7 Days of invoice for domain renewals and 20th of month for annual webhosting unless otherwise arranged in advance and confirmed by NZDH in email. Failure to pay within the due date gives NZDH the right to suspend or restrict support & services provided. Payment is complete once our NZDH bank account has been duly credited.
 

LEGAL EXPENSES AND INTEREST

Any debt collection costs, expenses and legal costs in relation to recovering overdue amounts will be added to the outstanding amount and the client is liable for that payment. In addition interest on overdue accounts accrues from the due date as shown on the invoice until date of payment at a compounding rate of 2% per calendar month. Should the client become insolvent or a liquidator/receiver be appointed, or if any money payable to NZDH by the client becomes gravely overdue, then without compromising any other remedies at law, NZDH may suspend services and demand immediate payment of the outstanding debt.
 

ACCEPTANCE

Any instructions received by NZDH from the client for the supply of services, shall constitute acceptance of the terms & conditions contained herein. 

DELIVERY & OWNERSHIP

Delivery shall be deemed to be completed upon receipt of the service by the customer.  
Ownership of the source code will remain the property of NZDH and cannot be transferred to the client or his agents. 
 

SUPPORT & SERVICES 
NZDH support covers only those services or software controlled/provided by NZDH and not the likes of telecommunication, email and computer issues. Unwarranted and excessive support will be levied at the current maintenance/development rate charged by NZDH. 

NZDH reserves the right to suspend or restrict support & services where the client has failed to perform conditions of the agreed terms. Webhosting services may be upgraded from time to time and without notice but with minimal disruption to ensure an ongoing fast and secure hosting facility.
 

PRIVACY ACT

Client confidentiality is paramount and NZDH maintains the strictest privacy policy. Only for the purpose of assessing clients credit worthiness or to enforce any rights under this contract the client permits NZDH to collect and disclose relevant information if lawfully required.
  

DISCLAIMER

The client hereby disclaims any right to sue for compensation of any misrepresentation made to him by any employee or agent of NZDH. Furthermore the client acknowledges that he deals with NZDH relying solely on his own judgement. Any image, text and other material supplied by the client is done so not to infringe the rights of any other person or business and complies with any industry/legal requirements and NZDH may discontinue/suspend hosting & services for non-compliance. NZDH or its employees may not be held responsible for clients' website content/data/images. Furthermore, NZDH may not be held responsible for any losses incurred to any client or any third party, as a result of any website downtime, whatever the reason.
 

CANCELLATION

Upon cancellation of web hosting a minimum of 1 months notice must be given to NZDH in written form (email or letter). An administration fee of $30 +gst will be charged or deducted from any credits upon cancellation. Domain registration payments are per year no partial refunds.
